Windows XP 64 bit is based on Windows 2003 architecture.

You will be able to access more ram, but it will still give the same problems with some older 32 bit apps and it won't run old 16 bit apps from Win 98/ME days.

You won't be able to access DOS, if that's important to you.

If your software supports Vista, I don't see any reason why not to upgrade.

One can always dual boot in different partitions I suppose.
